1. Scope, Definitions

1.1

These Terms and Conditions apply to the use of the online portal "germanyforstudents.com" (hereinafter "germanyforstudents.com") provided on the internet at www.germanyforstudents.com by FinEase Financial Service GmbH, Karlstr. 13, 35641 Schöffengrund, Germany (hereinafter "Operator").

1.2

User within the meaning of these Terms and Conditions is the generic term for registered users and guests. Users may be either consumers or entrepreneurs.

  • 1.2.1 Registered users have the possibility to access germanyforstudents.com for reading purposes and to use certain technical functions.
  • 1.2.2 Guests are users who have read access to parts of germanyforstudents.com that do not require registration and can use certain functions of germanyforstudents.com that do not require registration.
  • 1.2.3 Consumer means any natural person who enters into a legal transaction for purposes that can predominantly be attributed neither to their commercial nor to their independent professional activity.
  • 1.2.4 Entrepreneur means a natural or legal person or a partnership with legal capacity who, when entering into a legal transaction, acts in the exercise of their commercial or independent professional activity.
  • 1.2.5 Product partners are registered users who, as entrepreneurs, post listings for services in the fields of finance and insurance on germanyforstudents.com.
  • 1.2.6 Customers are registered users who, as consumers, can access product partner listings on germanyforstudents.com and get in touch with product partners via germanyforstudents.com.

2. Entitlement to Use

2.1

Natural persons, legal persons and partnerships are entitled to use the service. Natural persons with limited legal capacity (in particular minors) may only use germanyforstudents.com with the consent of their legal representative. The Operator reserves the right to make the use of germanyforstudents.com in such cases dependent on the submission of a written declaration of consent from the legal representative. By agreeing to these Terms and Conditions, the user confirms that they meet the aforementioned requirements when concluding the user contract.

2.2

Product partners must transmit the following information to the Operator in particular before commencing their sales activity via germanyforstudents.com:

  • Name and address of the product partner,
  • Product partner's telephone number,
  • Product partner's email address,
  • Where applicable, copy of the product partner's identity document;
  • Product partner's tax number,
  • Product partner's VAT identification number,
  • Product partner's bank details or virtual account number,
  • if the product partner is entered in a commercial register or similar public register, the commercial register in which they are entered and their commercial register number or an equivalent identifier used in that register.

2.3

Registration of a legal person or partnership may only be carried out by a natural person authorised to represent them, who must be named.

2.4

Each user may only set up one user account for germanyforstudents.com. Their entitlement to use germanyforstudents.com applies only to them personally and is not transferable.

3. Registration, Contract Formation

3.1

A user contract between the Operator and the user for the use of germanyforstudents.com under these Terms and Conditions is concluded upon successful registration or in the context of read access as a guest.

3.2

To register, the user may sign up by entering their data in the online form provided for this purpose and clicking the button that completes the registration process. Submitting the registration data constitutes the user's offer to conclude the user contract, which the Operator may accept but is not obliged to accept. The Operator may accept the user's offer within five days of receipt of the application by sending a confirmation of order by electronic means (email) or by activating the user account. If the Operator does not accept the user's contractual offer within the aforementioned period, this shall be deemed a rejection of the offer.

3.3

The contract text is stored by the Operator but can no longer be retrieved by the user via the Operator's website after submitting their contractual declaration.

3.4

Before submitting their contractual declaration, the user can correct their entries at any time using the usual keyboard and mouse functions.

3.5

The German language is available for the conclusion of the contract.

3.6

The information requested during registration must be provided by the user completely and correctly. The user is obliged to keep this information up to date at all times.

3.7

If the Operator receives sufficient indications or has reason to believe that information received from a product partner during registration regarding their identity is incorrect, incomplete or not up to date, the Operator shall request the product partner to correct or complete the relevant information without delay. If the product partner fails to correct or complete this information, the Operator shall suspend their services for the product partner until the request has been fully complied with.

4. Operator's Services, Marketing, Ranking

4.1

The Operator provides an online portal with germanyforstudents.com via which users can set up user accounts and get in touch with other users of the portal using the software provided by the Operator. Product partners can additionally post listings for the provision of services on germanyforstudents.com. The specific scope of services is set out in the service description on the Operator's website.

4.2

Contracts for the services described on germanyforstudents.com cannot be concluded directly between users via germanyforstudents.com. germanyforstudents.com merely serves to establish contact between users and to initiate contracts that may be concluded between users outside the portal. The Operator acts solely as an intermediary in this respect and does not become a contractual party to any contracts that may be concluded between users. The performance of any contracts concluded between users also takes place exclusively between the users. The Operator does not accept declarations of intent that may be exchanged between users and does not warrant that a contract is actually concluded between users.

4.3

To use germanyforstudents.com, the Operator enables the user to access its website and provides them with suitable software that remains on the Operator's server. The range of functions and technical specifications of the software are described in more detail in the service description on the Operator's website. The Operator is not obliged to establish and maintain the data connection between the user's IT system and the Operator's server.

4.4

To market the listings posted on germanyforstudents.com, the Operator carries out various sales promotion measures such as advertising in internet search engines, affiliate marketing, use of display ads and other digital advertising formats. The Operator reserves the right to change the specific measures carried out at its own reasonable discretion insofar as this appears expedient taking into account the interests of both parties.

4.5

The order in which listings are displayed in a search or in a category on germanyforstudents.com (ranking) is based in particular on the following factors:

  • Recency of the listings, with more recent listings being displayed first,
  • Availability of the relevant services,
  • Prices of the relevant services,
  • Number of clicks and orders in the past,
  • Relevance to the search term entered.

In addition, the ranking may be influenced in favour of a particular product or service by commissioning marketing measures that may be offered by the Operator.

4.6

The Operator may offer users personalised recommendations. These recommendations may take into account data regarding the user's activity on germanyforstudents.com. In particular, the following parameters are taken into account: search and usage behaviour, service categories visited, price level, relevance to the respective search query, seasonal circumstances, promotions, interest of other users in comparable services. The user can change the settings for personalised recommendations at any time in the privacy settings of their user account.

4.7

germanyforstudents.com is offered subject to availability. 100% availability is technically not feasible and can therefore not be guaranteed by the Operator. However, the Operator endeavours to keep the service as constantly available as possible. In particular, maintenance, security or capacity requirements as well as events beyond the Operator's control (disruptions to public communications networks, power failures, etc.) may lead to disruptions or temporary suspension of the service. The Operator will carry out maintenance work during periods of low usage wherever possible.

4.8

The software for operating germanyforstudents.com is updated by the Operator at irregular intervals. The user therefore only receives a right of use to the software in its respective current version. The user has no claim to the achievement of a specific state of the software.

5. Service Changes

5.1

The Operator reserves the right to change the services offered or to offer different services, unless this would be unreasonable for the user.

5.2

The Operator furthermore reserves the right to change the services offered or to offer different services:

  • insofar as it is obliged to do so due to a change in the legal situation;
  • insofar as it is complying with a court ruling or official decision against it;
  • insofar as the change is necessary to close existing security gaps;
  • if the change is merely advantageous for the user; or
  • if the change is purely technical or procedural in nature without significant effects for the user.

5.3

Changes with only insignificant effects on the functions of germanyforstudents.com do not constitute service changes within the meaning of this section. This applies in particular to changes of a purely graphical nature and the mere change in the arrangement of functions.

6. User Obligations, Responsibility for Content

6.1

Each user is solely responsible for the content of the information they post on germanyforstudents.com, in particular for its truthfulness and legal compliance. The user warrants that the data they provide is truthful. The user shall ensure that the content they post does not violate these Terms and Conditions or applicable law. They must in particular comply with the provisions of competition law and intellectual property (copyrights, patent rights, trademark rights, etc.) in full at all times and shall at all times behave in such a way that the rights of third parties are not impaired and no risk can arise for the Operator, e.g. due to claims by third parties. In particular, the publication of the following is prohibited:

  • content protected by copyright if there is no authorisation to use it (e.g. photos for the publication of which on the internet the photographer and/or a person depicted has not consented);
  • false statements of fact;
  • contributions aimed at personally attacking or defaming other users;
  • racist, xenophobic, discriminatory or insulting content;
  • content harmful to minors;
  • content glorifying violence;
  • false profile data to conceal true identity;
  • links to pages that do not comply with legal provisions or these Terms and Conditions.

6.2

Only services in the fields of finance and insurance for which a corresponding licence exists may be advertised on germanyforstudents.com.

6.3

No technologies may be used on germanyforstudents.com that harm or harass the platform, users or third parties (viruses, robots, spiders, scrapers, crawlers, hacking, brute-force attacks, etc.). In particular, no technologies may be used without the Operator's express written consent to extract any substantial parts of germanyforstudents.com for reuse (whether once or repeatedly). Furthermore, no own database may be created and/or published without the Operator's express written consent that contains substantial parts of germanyforstudents.com.

6.4

Users may not use the contact details they receive from each other in the course of communication on germanyforstudents.com for sending advertising unless the other user has given express consent for this.

6.5

Users are in principle liable for all activities carried out using their access, insofar as they are responsible for them. The user is responsible for keeping access data confidential. They must ensure that it is not accessible to third parties. The user must inform the Operator immediately if there are indications that their access is or has been used by third parties without authorisation.

7. Moderation and Restriction of Content, Sanctions

7.1

The Operator is in principle not obliged to proactively check content posted by users for its legality or compatibility with the rights of third parties or these Terms and Conditions. Nevertheless, the Operator reserves the right to check user content for legality on a case-by-case basis on its own initiative and to take measures in accordance with the following provisions in the event of established violations.

7.2

Users and affected third parties can report allegedly unlawful content to the Operator using the email address specified in the Operator's imprint. The Operator is free to forward the content of a report to the user who posted the reported content. The identity of the reporting person will only be disclosed to the user if this is absolutely necessary.

7.3

In the case of reports and in the context of checks that may be carried out on the Operator's own initiative, a human content review is generally carried out. In individual cases, automated technical review procedures may be used in addition.

7.4

If the unlawfulness of content published by a user is established following a report or in the context of a check on the Operator's own initiative, the Operator is entitled to take one or more of the following measures at its reasonable discretion without prior notice or contact:

  • Warning the user who published the content,
  • temporary blocking or permanent deletion of the content in question,
  • temporary or permanent suspension of the contractually assumed obligations,
  • termination of the contractual relationship (ordinary or extraordinary for good cause).

7.5

When choosing the measures to be taken, the Operator will take into account the principles of proportionality and balance the interests of the affected user with its own interests in the unimpeded, trouble-free and proper continuation of its business activities. Criteria taken into account when imposing a measure include: the meaning and significance of the specific content and its potential for infringement or harm, the frequency of the user's publication of inadmissible content, the ratio of the user's publication of inadmissible content to their other use of the service where discernible, the intentions pursued by the user with the publication of inadmissible content where discernible, the existence and degree of fault of the user who published the content.

7.6

If users frequently submit obviously unfounded reports or complaints, the Operator shall suspend the processing of reports and complaints from these users for a reasonable period after prior warning.

7.7

The following additional conditions apply to sanctions for product partners:

7.7.1 If the Operator decides to restrict or suspend the provision of germanyforstudents.com for a product partner in relation to individual listings, it shall transmit to the affected product partner a reason for this decision in text form before or simultaneously with the suspension or restriction taking effect.

7.7.2 If the Operator decides to completely terminate the provision of germanyforstudents.com for a product partner, it shall transmit to the affected product partner a reason for this decision in text form at least 30 days before the termination takes effect.

7.7.3 The period pursuant to the preceding section does not apply if the Operator is subject to legal or officially ordered obligations that require complete termination of the provision of germanyforstudents.com for the product partner and do not allow it to comply with the period; effectively exercises its right to extraordinary termination of the user contract for good cause; can prove that the affected product partner has repeatedly violated the applicable Terms and Conditions, which has led to complete termination of the user contract. In the aforementioned cases, the Operator shall provide the affected product partner with a reason for its decision in text form without delay.

7.7.4 No reason is required in the cases regulated above if the Operator is not permitted to disclose the specific facts or circumstances and the correct reason or reasons due to legal or officially ordered obligations, or if it can prove that the affected product partner has repeatedly violated the applicable Terms and Conditions, which has led to complete termination of the user contract.

7.8

If a user is permanently blocked, they may no longer use germanyforstudents.com and may not register again.

7.9

The Operator is entitled to remove listings or content that do not fit the overall message of germanyforstudents.com at its own reasonable discretion. If the user has not committed a breach of duty for which they are responsible, the Operator shall reimburse any remuneration incurred for the deleted listing.

8. Grant of Rights by the Operator

8.1

The Operator grants the user a non-exclusive, limited right for the duration of the user contract to use the online portal provided by the Operator and the software contained therein within the framework of these Terms and Conditions.

8.2

Without the Operator's written consent, the user is not permitted to make the content made available to them accessible to third parties. The user shall ensure that they do not provide third parties with any means of circumventing access to germanyforstudents.com.

9. Grant of Rights by the User

9.1

The Operator is entitled to use or have used by third parties content and information provided by users for germanyforstudents.com.

9.2

Profile pictures and profile texts of product partners as well as content of listings on germanyforstudents.com may be used by the Operator for external presentation on partner websites, the Operator's social media channels and in internet and/or price search engines.

9.3

The Operator may technically process listings and other content of product partners so that they can also be displayed on mobile devices or in apps of the Operator or of third parties.

9.4

Listings and other content of product partners can also be accessed from other countries. The Operator may translate listings and other content of users into other languages for this purpose at its own expense.

9.5

The user grants the Operator the rights of use required for this purpose free of charge, non-exclusively and limited to the duration of the user contract, in particular the right to permanent provision and storage and to making publicly accessible, the right of reproduction and publication as well as the right of adaptation and distribution, and warrants that they are entitled to grant these rights of use.

10. Remuneration

10.1

The use of germanyforstudents.com is free of charge for guests and for customers.

10.2

For product partners, the conditions individually agreed with the Operator apply in this respect.

11. Indemnification

The user shall indemnify the Operator against all claims that other users or other third parties assert against the Operator due to infringement of their rights by content posted by the user or due to the user's other use of germanyforstudents.com. The user shall also bear the necessary costs of legal defence including all court and legal fees in the statutory amount. This does not apply if the user is not responsible for the infringement of rights. The user is obliged to provide the Operator with all information required to examine the claims and for defence without delay, truthfully and in full in the event of a claim by third parties.

12. Operator's Liability

12.1

The Operator is not liable for disruptions in the contractual relationship between users.

12.2

In the contractual relationship between the Operator and the user, the Operator's liability to the user for all contractual, quasi-contractual and statutory, including tortious, claims for damages and reimbursement of expenses is as follows:

12.2.1 The Operator is liable without limitation for any legal reason in cases of intent or gross negligence, in cases of intentional or negligent breach of life, body or health, on the basis of a guarantee, unless otherwise agreed in this respect, and on the basis of mandatory liability such as under the Product Liability Act.

12.2.2 If the Operator negligently breaches an essential contractual obligation, liability is limited to the foreseeable damage typical for the contract, unless liability is unlimited pursuant to the preceding section. Essential contractual obligations are obligations which the contract imposes on the Operator according to its content for the achievement of the purpose of the contract, the fulfilment of which is essential for the proper performance of the contract and on the observance of which the user may regularly rely.

12.2.3 Otherwise, the Operator's liability is excluded.

12.2.4 The foregoing liability provisions also apply with regard to the Operator's liability for its vicarious agents and legal representatives.

13. Term, Termination

13.1

The user contract with guests and customers is concluded for an indefinite period and may be terminated by the parties involved at any time without observing a notice period.

13.2

For product partners, the conditions individually agreed with the Operator apply in this respect.

13.3

The right to extraordinary termination for good cause remains unaffected. Good cause exists if the terminating party cannot reasonably be expected to continue the contractual relationship until the agreed end or until the expiry of a notice period, taking into account all the circumstances of the individual case and balancing the interests of both parties. Good cause exists in particular: a serious breach of essential provisions of these Terms and Conditions that is not remedied even after a deadline has been set or is committed repeatedly and makes the continuation of the contractual relationship impossible or unreasonable; re-registration during an ongoing block of the user; the provision of false profile data by the user to conceal true identity; if, in the case of chargeable use of germanyforstudents.com, enforcement proceedings have been initiated against the entire assets of the other party or a substantial part of these assets, or grounds exist for the opening of insolvency proceedings against the other party, such proceedings have been rejected for lack of assets, insolvency proceedings have been applied for against the other party, or the other party has made a statutory declaration regarding their assets.

13.4

In the event of justified extraordinary termination of the user contract by the Operator, the user is not entitled to set up a new user account for germanyforstudents.com.

13.5

Termination may be made in writing, in text form (e.g. email) or, on the part of the user, by requesting the Operator in writing or in text form to delete their user account on germanyforstudents.com.

13.6

Upon termination of the contract, the user loses access to their user account. Furthermore, the Operator's obligation to store the user's posted data also ceases upon termination of the contract.

14. Amendment of the Terms and Conditions

14.1

The Operator reserves the right to amend these Terms and Conditions at any time, provided the user agrees to the amendment.

14.2

The Operator furthermore reserves the right to amend these Terms and Conditions without the user's consent insofar as it is obliged to do so due to a change in the legal situation; insofar as it is complying with a court ruling or official decision against it; insofar as it introduces additional, entirely new services, features or service elements that require a service description in the Terms and Conditions, unless the existing user relationship is adversely affected thereby; if the amendment is merely advantageous for the user; or if the amendment is purely technical or procedural, unless it has significant effects for the user.

14.3

The Operator will inform the user of material amendments to these Terms and Conditions in good time and in an appropriate form. Material amendments are those that would significantly shift the contractual relationship to the user's disadvantage or would be equivalent to the conclusion of an entirely new contract. These include in particular provisions on the type and scope of the service or on contract term and termination modalities.

14.4

The user's right of termination pursuant to the preceding section remains unaffected.

15. Applicable Law

The law of the Federal Republic of Germany applies to all legal relationships between the parties. For consumers, this choice of law applies only insofar as the protection granted by mandatory provisions of the law of the country in which the consumer has their habitual residence is not withdrawn.

16. Place of Jurisdiction

If the user acts as a merchant, legal person under public law or special fund under public law with its seat in the territory of the Federal Republic of Germany, the exclusive place of jurisdiction for all disputes arising from this contract is the Operator's place of business. If the user has their seat outside the territory of the Federal Republic of Germany, the Operator's place of business is the exclusive place of jurisdiction for all disputes arising from this contract if the contract or claims under the contract can be attributed to the user's professional or commercial activity. However, the Operator is in any case entitled in the aforementioned cases to bring an action before the court at the user's seat.

17. Information on Data Access

17.1

Within the framework of the use of germanyforstudents.com, the Operator has access to the following categories of data, which include both personal and non-personal data: account data; address/contact data; access data.

17.2

The Operator makes the following categories of data available to product partners that are generated in connection with the use of germanyforstudents.com: product partner's account data; customers' account data (insofar as required for establishing contact via germanyforstudents.com).

17.3

The Operator makes the categories of data pursuant to section 17.1 partly available to third parties who use this data for the further provision and/or further development and analysis of germanyforstudents.com: providers of CRM and marketing software; providers of statistics and analysis software.

17.4

After termination of the user contract, the data provided by the respective user or generated by their use of germanyforstudents.com will be deleted. Notwithstanding this, the Operator retains this information even after the end of the contract insofar as it is legally obliged to do so or has a legitimate interest therein. Anonymised data generated by the use of germanyforstudents.com (e.g. usage statistics) are generally also retained after the end of the contract.

17.5

The Operator informs the user about the processing of personal data by the Operator including disclosure to third parties and the user's rights as a data subject in its Privacy Policy.
